STRUCTURED FINANCE OF COUNSEL ATTORNEY

A top-10 AmLaw firm is seeking a seasoned and business-savvy Structured Finance Of Counsel to join its Finance Practice . This role offers the opportunity to advise on complex, market-leading securitization and CLO transactions for prominent clients across a range of industries. Ideal candidates will bring strong subject-matter expertise and leadership potential to a collaborative and growing practice.

Candidate Profile

• JD from a top-tier law school with an excellent academic record .
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 9+ years of substantive experience in structured finance , securitization , and/or CLO transactions .
• Strong familiarity with regulatory issues , deal structuring , and capital markets transactions .
• Demonstrated ability to independently manage transactions and mentor junior team members.
• AmLaw Experience : Relevant experience at an AmLaw 100 firm is strongly preferred.
• Soft Skills : Excellent analytical and writing skills, business acumen, attention to detail, and the ability to work independently as well as collaboratively.

Key Responsibilities

• Advise financial institutions, funds, and corporate clients on a wide variety of structured finance matters , including securitizations , CLOs , warehouse facilities , and other complex financings .

• Lead deal execution and manage all phases of transaction lifecycle.

• Draft and negotiate key transaction documents and coordinate with internal and external stakeholders.

• Provide regulatory counsel on securitization compliance and risk issues.

• Collaborate with cross-practice teams on innovative deal structures and client service.

Compensation & Benefits

• Competitive Compensation : Annual base salary is expected to range from $475,000 – $525,000 , depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
